These Terms of Service (“Terms”) govern your access to and use of the Matrix Labs USA LLC website, including any content, features, account areas, and purchases made through the site (collectively, the “Site” or “Services”). “Matrix Labs USA,” “we,” “us,” and “our” refer to Matrix Labs USA LLC.

By accessing the Site, creating an account, or purchasing any product, you agree to these Terms. If you do not agree, do not use the Site.

1. ELIGIBILITY AND AGE REQUIREMENT (21+)

The Site is intended only for individuals who are at least twenty-one (21) years of age. By using the Site or placing an order, you confirm you are 21+ and have the legal capacity to enter into these Terms.

We may require additional age verification for certain orders, accounts, or situations. Age verification may include a checkbox confirmation and, where we deem appropriate, a request for additional proof of age. We may refuse service, cancel orders, or restrict access if we believe a user is underage or attempting to bypass the age requirement.

2. RESEARCH USE ONLY / NOT FOR HUMAN CONSUMPTION

All products sold by Matrix Labs USA LLC are intended strictly for laboratory research use only.

Products are not for human consumption or veterinary use, and are not intended to diagnose, treat, cure, mitigate, or prevent any disease.

You agree that you will not use, distribute, resell, or represent any product for any prohibited purpose, including but not limited to human use, animal use, clinical use, therapeutic use, diagnostic use, compounding, ingestion, injection, inhalation, topical personal-care use, or any other non-research application.

You are solely responsible for confirming that your purchase, possession, and use of any product complies with all applicable laws, rules, and regulations in your jurisdiction.

3. Customer Responsibility & Misuse

By purchasing from Matrix Labs USA, you represent and warrant that you are a qualified researcher or acting under the supervision of one, and that you will handle, store, and use all products in accordance with applicable laws, regulations, safety protocols, and good laboratory practice.

You understand and agree that any use of the products outside of their intended research purpose — including but not limited to human consumption, clinical or diagnostic use, or administration to animals or humans — constitutes misuse. Matrix Labs USA has no control over the handling or use of products after delivery and assumes no responsibility and accepts no liability for any loss, damage, injury, or claim arising out of or relating to such misuse.

4. Assumption of Risk

You acknowledge that research chemicals may pose inherent risks, including but not limited to toxicity, handling hazards, and unknown or unintended effects. You agree that you are solely responsible for assessing and managing those risks in your facility and that you assume all risks associated with the possession, use, storage, and disposal of the products. 

5. INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY

All content on this Site is provided for informational and educational purposes only. Product descriptions, articles, and any other materials are provided to support research context and general understanding and are not medical or clinical guidance.

You are responsible for conducting your own independent review and study before purchasing or using any product.

6. ACCOUNT REGISTRATION AND COMMUNICATIONS

If you create an account, you agree to provide accurate information and to keep your account credentials secure. You are responsible for activity that occurs under your account.

By creating an account or placing an order, you consent to receive transactional and service communications from us by email and/or text message, such as account notices, verification prompts, order confirmations, shipping updates, delivery notifications, and support responses.

If we offer promotional messages, you can opt out using the unsubscribe link in emails or by following opt-out instructions provided in texts. Opting out of promotional communications does not prevent essential service messages.

Message and data rates may apply depending on your carrier and plan.

7. ORDERS, ACCEPTANCE, AND RIGHT TO REFUSE

All orders are subject to acceptance by us. We may refuse, cancel, or limit any order at our discretion, including where we suspect fraud, misuse, unlawful intent, resale into prohibited channels, or inability to verify order information.

We may request additional verification before processing certain orders, including confirmation of identity, age, or payment details.

8. PRICING, PRODUCT INFORMATION, AND AVAILABILITY

Prices are shown in U.S. Dollars unless stated otherwise. Prices, product availability, and product specifications may change at any time without notice.

We may correct errors in descriptions, pricing, or availability, and we may cancel orders affected by such errors. Product images are for reference only and may not perfectly represent the delivered item or packaging.

9. PAYMENTS (ZELLE AND BTCPAY)

We currently accept payment via Zelle and cryptocurrency checkout through BTCPay (or an equivalent BTCPay Server flow).

Zelle payments

When paying by Zelle, you are responsible for initiating payment from your bank and ensuring the payment includes correct identifying details (such as your order number where supported). Orders may be held or canceled if payment cannot be matched to the order within a reasonable time.

BTCPay payments

Cryptocurrency transactions are irreversible once confirmed. You are responsible for sending the correct amount to the correct address within any invoice time window. Network fees, confirmation delays, and blockchain conditions are outside our control.

We generally process and ship orders only after payment is received and verified. If an invoice is underpaid, unpaid, or expires, the order may be delayed or canceled. If an overpayment occurs, any refund or credit (if offered) is handled at our discretion and may account for network fees or administrative costs.

10. SHIPPING AND DELIVERY (U.S. ONLY)

We currently ship within the United States only.

Shipping estimates are not guarantees. Delays may occur due to carrier issues, weather, service disruptions, address problems, or other events outside our control.

You are responsible for providing accurate shipping information. If a package is returned due to an incorrect address or delivery failure attributable to you, reshipment may require additional fees.

Risk of loss and title transfer to you once the carrier marks the package as delivered to the address provided (or otherwise confirms delivery according to its tracking system).

11. RETURNS, REFUNDS, AND ORDER ISSUES (ALL SALES FINAL)

All sales are final.

Wrong item or damaged-in-transit exceptions

If you receive the wrong item due to our error, or if an order arrives damaged in transit, you must contact us at info@matrixlabsusa.com within twenty-four (24) hours of delivery with your order number and clear proof of the issue, including photos of:

The shipping label

The outer packaging

The inner packaging and product label

The product condition and any damage

To be eligible, the product must be unopened and in its original condition. We may require additional documentation and may require return of the incorrect item or damaged item before a replacement is issued.

If the claim is approved, we may provide a replacement or store credit at our discretion. Shipping carrier claims, delays, theft, or misdelivery issues may require additional investigation.

Chargebacks and payment disputes

Initiating a chargeback or payment dispute may result in account restrictions, cancellation of pending orders, and refusal of future service. We encourage you to contact us first so we can review and resolve issues when possible.

12. CERTIFICATES OF ANALYSIS (COAs)

COAs may be provided for products to support research documentation and batch traceability. COAs are intended for informational purposes related to analytical testing and do not authorize any prohibited use. You are responsible for determining suitability for your specific research application.

13. PROHIBITED USES

You agree not to:

Use the Site or products for any unlawful purpose or prohibited use described in these Terms

Misrepresent intended use, including seeking products for human or animal use

Attempt to bypass age gates, security, or access restrictions

Interfere with the Site’s operation, including by introducing malware or harmful code

Scrape, copy, harvest, or extract data from the Site without permission

Use the Site to infringe intellectual property rights or privacy rights of others

14. INTELLECTUAL PROPERTY

All Site content, branding, product presentation, text, graphics, logos, and design are owned by or licensed to Matrix Labs USA LLC and are protected by intellectual property laws. You may not use our content or trademarks without prior written permission.

15. DISCLAIMERS

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted access to the Site, error-free operation, or that the Site will meet your requirements.

You acknowledge that research materials may involve hazards, including unknown risks, and you accept full responsibility for safe handling, storage, use, and disposal in compliance with applicable laws and best practices.

Matrix Labs USA LLC is a research supply company and is not a pharmacy, compounding pharmacy, or outsourcing facility.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATRIX LABS USA LLC AND ITS OWNERS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM OR RELATED TO THE SITE, PRODUCTS, OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some states do not allow certain limitations, so some of these limitations may not apply to you.

17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Matrix Labs USA LLC and its owners, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your purchase or use of products, your violation of these Terms, or your violation of any law or rights of a third party.

18. TERMINATION

We may suspend or terminate your access to the Site or your account at any time if we believe you violated these Terms, pose a risk to the Site or business, or attempted to purchase for prohibited uses.

19. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

20. BINDING ARBITRATION AND CLASS ACTION WAIVER

Please read this section carefully. It affects your legal rights.

Agreement to arbitrate

You and Matrix Labs USA LLC agree that any dispute, claim, or controversy arising out of or relating to the Site, the Services, any products, any purchase, or these Terms will be resolved by binding arbitration on an individual basis, rather than in court, except as stated below.

Class action waiver

You and Matrix Labs USA LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

Exceptions

Either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the Site, pending the outcome of arbitration.

Arbitration rules and forum

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or another set of rules deemed applicable by AAA). The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable.

Arbitration location and format

Arbitration may be conducted by telephone, videoconference, written submissions, or in person, depending on what the arbitrator determines is most appropriate. If an in-person hearing is required, it will take place in California unless the parties agree otherwise.

Fees and costs

Payment of arbitration fees will be governed by AAA rules and applicable law. Each party will be responsible for its own attorneys’ fees and costs unless the arbitrator awards fees and costs in accordance with applicable law.

Time limit

To the extent permitted by law, any claim must be brought within one (1) year after the claim arises, or it is permanently barred, unless a longer period is required by applicable law.

Severability

If any portion of this arbitration section is found to be unenforceable, the unenforceable portion will be severed, and the remaining provisions will remain in effect. If the class action waiver is found to be unenforceable, then the arbitration agreement will be unenforceable only as to class claims.

21. CHANGES TO THESE TERMS

We may update these Terms at any time. Changes are effective when posted on the Site. Your continued use of the Site after changes means you accept the updated Terms.
